Terms and Conditions
1. Interpretation
1.1 In these Conditions the following words shall have the
following meanings:
"Content" means
reports, data, information, materials or other content appearing on
the Extranet.
"Extranet" means
the RIU Extranet to be found at http://www.nwriu.co.uk/ including any
links to any external websites.
"Intellectual Property
Rights" means any intellectual property rights of
whatsoever nature anywhere in the world, including but without
limitation, any patents, trade marks, registered designs,
database rights, applications for any of the foregoing, copyright,
domain names, unregistered design rights, rights in semi-conductor
topographies or similar rights, know how and any other similar
protected rights in any other country.
"Home Page" means
the specific website page that appears at http://www.nwriu.co.uk/
“NWDA” means the
Northwest Development Agency of PO Box 37, Renaissance House,
Centre Park, Warrington, Cheshire, WA1 1XB.
"RIU" means the
Regional Intelligence Unit, which is a service of the NWDA.
2. Access To
Extranet
2.1 By
accessing the Extranet You agree to be bound by these
Conditions.
2.2 Links to
the Extranet are not permitted other than to the Home Page except
with prior written permission of the NWDA. Links to the Extranet
from within a frameset definition are not permitted except with
prior permission of the NWDA.
3. NWDA'S
RIights
3.1 The NWDA
reserves the right in its absolute and sole discretion, without
notice or explanation to make any changes to the Extranet
whatsoever; remove the Extranet from the internet altogether;
suspend or terminate access to or use of the Extranet; and
intercept and monitor all communications between You and the NWDA
as may be appropriate for security or training
purposes.
4.
Data
4.1 The NWDA
makes no warranties whatsoever, whether express or implied as to
the accuracy, quality, timeliness, completeness or fitness for
purpose of the Content that appears on the Extranet (including but
without limitation any content that is contained in other websites
that are linked to or referenced on the
Extranet).
4.2 The Content
does not constitute advice and You should in no way rely on
it.
5.
Intellectual Property
5.1 All
Intellectual Property Rights relating to the Extranet, and its
designs and layout and the Content shall at all times be vested in
the NWDA or its Licensors.
5.2 You shall
not use nor pass off as your own the NWDA or RIU's name, logo, any
trade mark or any other identification marks for the purpose of
advertising or publicity without the prior written consent of the
NWDA.
6. Limitation of
Liability
6.1 The NWDA shall not be
liable for any downtime or malfunction of the Extranet or the
Content.
6.2 The NWDA shall not be
liable for any loss arising from the websites that are linked to or
referenced on the Extranet.
6.3 The NWDA shall not be
liable (whether in contract, tort, misrepresentation, negligence or
otherwise) for direct, indirect, special, incidental or
consequential damages in connection with the operation of the
Extranet or in connection with the Content even if the NWDA has
been warned of the possibility of such damages. Without limiting
the previous sentence, the NWDA shall not be liable for loss of
profits, revenue, opportunity, goodwill or data.
6.4 Notwithstanding any
contrary provision in Conditions, the NWDA does not limit or
exclude its liability in respect of:
(a) any death or personal
injury caused by its negligence;
(b) any fraud; and
(c) any other statutory or other liability which cannot be
excluded under applicable law.
7.
Assignment
7.1 You may not
assign or transfer or purport to assign or transfer to any other
person any rights under these Conditions without the NWDA's prior
written approval.
7.2 The NWDA
may assign or transfer any of its rights or obligations under these
Conditions.
8. Implied
Terms Excluded
8.1 Any terms
implied by law are hereby excluded to the fullest extent permitted
by law.
9. Governing
Law
9.1 These
Conditions shall be governed by and construed in accordance with
the laws of England in the English language, and You agree to
submit to the exclusive jurisdiction of the English
courts.
